As a subscriber to Morgan Seminar Group's (MSG) Managers Discussion Guide Program (MDGP), I acknowledge and agree:
- That MSG is the owner of all copyrights, trademarks, service marks and other intellectual property rights with respect to the MDGP, except information that is licensed by MSG and expressly credited.
- I will not copy any of the materials, except as expressly set forth below, in whole or in part, electronically or on paper, or via any other device or method. I further agree that I will not permit any person under my authority, direction or control to copy any of the materials in any manner and will make reasonable efforts to safeguard the materials from unauthorized copying or duplication. I will not let other department managers borrow or use the materials for their departments, even if they do not duplicate any of the materials.
- I understand that this subscription grants me the right to make one copy of each of the participants' handouts for up to 20, for my staff members on my immediate team, for use in the discussions. Those pages are clearly marked on the bottom. I will not copy and/or distribute copies, in electronic, print or any other form, for other managers' teams or departments, whether they are within my company or part of another company.
- I have purchased the right to use the intellectual property, but not the right to reproduce it beyond what is expressly permitted by this agreement. If my company wants additional departments to have the benefit of using the MDGP, they may purchase additional subscriptions for those individual department managers. This program must be separately purchased by the individual department manager or designated leader of each organization, division or department wishing to use them.
- Because this is an individual subscription, it does not grant an express or implied license, or authorization of any kind, to consultants, trainers, publishers, advisors or others to commercially exploit, adapt or use any of these modules, exercises or tools, in whole or in part, in any form or format. Subscribers are expressly authorized to use this MDGP in developing their staff for their direct teams only.
- My annual subscription will be automatically renewed, until I notify MSG in writing of my intent to cancel. Notice may be by email or registered letter to MSG. If I decide to cancel, I will return the full MDGP manual to MSG within 10 days of transmitting my written notice of intent to cancel. My subscription will be considered cancelled on the date when MSG receives the complete materials by return mail. Materials must be returned using a traceable shipment method.
- If I am eligible to receive a credit for part of an annual or quarterly payment, that credit will be calculated based on the actual receipt date of return to Morgan Seminar Group. The credit card with which I paid will be credited within 30 days of our receipt of the complete manual.
- If I secure employment with a new company and want to continue with the program, I will re-subscribe at my new company.
- I will use reasonable means to safeguard and keep confidential the proprietary information and intellectual property of MSG and will not, without prior written consent of the MSG, disclose the content of this program, other than to my team members as contemplated by this program.
- If I materially fail to fulfill my obligations under this agreement, MSG shall have the right to cancel all further renewals of the subscription.
- If I violate the terms of this Subscription Agreement by unauthorized duplication, reproduction or distribution of the participant materials and/or the MDGP, or by causing or permitting others to make unauthorized copies or use of any portion of the materials, MSG shall exercise all remedies available under applicable federal and state laws to enforce its intellectual property rights.
- This Subscription Agreement is the entire agreement between the parties with respect to its subject matter and supersedes all earlier oral or written agreements or statements of terms and conditions.
- This Subscription Agreement shall be governed by and construed under the laws of the State of California.
